CELEBRITY RESPONSE LLC — CREATOR TERMS

These Creator Terms (the "Creator Terms") govern your participation as a Creator on the Celebrity Response platform (the "Platform") operated by Celebrity Response LLC, an Ohio limited liability company with its principal place of business at 131 19th St, Toledo, Ohio 43604 ("Celebrity Response", "we", "us", or "our"). By applying for, registering, or maintaining a Creator account on the Platform, you (the "Creator" or "you") agree to be bound by these Creator Terms.

These Creator Terms are supplemental to and incorporated into the Celebrity Response Terms of Service (the "Terms of Service"), available at https://celebrityresponse.app. In the event of any conflict between these Creator Terms and the Terms of Service, these Creator Terms shall control with respect to Creator-specific matters. All capitalized terms not defined herein shall have the meanings set forth in the Terms of Service.

Overview and Acceptance
1. These Creator Terms set forth the rights, obligations, and responsibilities applicable to Creators who use the Platform to create, publish, distribute, and monetize content and services.
2. By creating a Creator account, uploading content, or engaging in any monetization activity on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Creator Terms, together with the following companion policies, each of which is incorporated herein by reference:
  1. the Terms of Service (including Section 5, Creator Content and Monetization, and Section 10, Intellectual Property);
  2. the Payments and Refund Policy;
  3. the Acceptable Use Policy (including Section 5, Creator-Specific Obligations);
  4. the Rewards Policy; and
  5. the Privacy Policy.
3. Celebrity Response may update these Creator Terms at any time by posting a revised version on the Platform. Continued use of the Platform as a Creator following any such update constitutes your acceptance of the revised Creator Terms. It is your responsibility to review these Creator Terms periodically for changes.
Creator Eligibility
1. To be eligible for a Creator account on the Platform, you must:
  1. be at least eighteen (18) years of age;
  2. have the legal capacity and authority to enter into a binding agreement;
  3. have the legal rights to all content you post on the Platform, including ownership, a valid license, or written authorization from the rights holder;
  4. comply with all applicable Platform policies, including the Terms of Service, the Acceptable Use Policy, the Payments and Refund Policy, the Rewards Policy, and the Privacy Policy; and
  5. provide accurate and complete registration information.
2. Celebrity Response may, at its sole discretion, require identity verification as a condition of granting or maintaining Creator status. You agree to cooperate with any verification process and to provide such documentation as Celebrity Response may reasonably request.
3. Creator status is granted at Celebrity Response's sole discretion and may be revoked at any time, with or without cause, in accordance with Section 8 of these Creator Terms.
Content Ownership and Licensing
1. You retain all ownership rights in your original content posted on the Platform (your "Creator Content"). Nothing in these Creator Terms shall be construed as an assignment or transfer of your intellectual property rights.
2. By posting, uploading, or submitting Creator Content to the Platform, you grant Celebrity Response a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, host, display, reproduce, distribute, modify, adapt, publish, and promote your Creator Content, in whole or in part, in any media format and through any media channels (the "Platform License"). This license grant is consistent with the Content License described in Section 10.2 of the Terms of Service.
3. The Platform License includes, without limitation, the right to:
  1. operate, maintain, and improve the Platform, including displaying your Creator Content to subscribers, followers, and other users;
  2. distribute and deliver your Creator Content to users who have purchased, subscribed to, or otherwise obtained access to such content;
  3. use your Creator Content, name, likeness, and biography in marketing, promotional, and advertising materials for the Platform; and
  4. sublicense the foregoing rights to third-party service providers and content delivery networks acting on Celebrity Response's behalf.
4. The Platform License shall remain in effect for as long as your Creator Content remains on the Platform and shall survive termination of your Creator account to the extent set forth in Section 9 of these Creator Terms.
5. You are solely responsible for ensuring that your Creator Content does not infringe, misappropriate, or otherwise violate any third-party intellectual property rights, publicity rights, personality rights, privacy rights, or any other rights.
Content Exclusivity
1. By default, Creator Content is non-exclusive. You are free to create, publish, and distribute your content on other platforms, websites, or media channels, subject to any exclusivity designation under this Section 4.
2. Celebrity Response may, at its sole discretion, designate certain Creator Content as "Platform Exclusive" content. Platform Exclusive designation may be offered by Celebrity Response or requested by a Creator and is subject to Celebrity Response's approval.
3. During the applicable exclusivity period, you shall not post, publish, distribute, or make available any Platform Exclusive content on any competing platform, website, or media channel. The duration and scope of each exclusivity period shall be as specified by Celebrity Response at the time of designation.
4. Celebrity Response may offer Creators enhanced promotion, increased visibility, preferential placement, or improved revenue-sharing terms in connection with Platform Exclusive content. The specific benefits, if any, shall be as communicated by Celebrity Response at the time of the exclusivity designation.
5. If you breach any exclusivity obligation under this Section 4, Celebrity Response may, without limitation:
  1. remove the affected Platform Exclusive content from the Platform;
  2. revoke any enhanced benefits associated with the exclusivity designation;
  3. suspend or terminate your Creator account in accordance with Section 8; and
  4. pursue any other remedies available under these Creator Terms or applicable law.
Monetization
1. The Platform provides Creators with various monetization features. The Platform is available on the web at https://celebrityresponse.app, on iOS, and on Android. Certain features are facilitated through Credits, which are a virtual currency that users purchase through in-app purchases and use to access Creator content and services on the Platform. Credits are a platform currency used between users and Celebrity Response; Credits do not have a fixed dollar value and Creators do not receive or transact in Credits. Other features use traditional direct-payment methods. The monetization features available to Creators include, without limitation:
2. Credit-based features (where users spend Credits to access content and services): (i) subscriptions (monthly tiers set by the Creator); (ii) paid messages and direct messages; (iii) Lives (Online Party); and (iv) one-time content purchases (posts, music, and other digital content).
  1. Direct-payment features (where users are charged directly): (i) Book a Call (request-based video or audio calls); (ii) Deals (any service request from fans, including custom bookings, features, and personalized services); (iii) In-Person Party (live, in-person events and experiences); and (iv) Shop (merchandise and other goods offered by the Creator).
3. For Credit-based features, Creators receive monetary payouts calculated based on Credit activity at rates determined by Celebrity Response. Payout rates may vary by transaction type and are communicated through the Creator dashboard. Creators do not set the Credit prices charged to users; pricing of Credits is determined solely by Celebrity Response. For direct-payment features, Creators set their own pricing, subject to any minimum or maximum pricing parameters established by Celebrity Response from time to time. Detailed payout terms, including payout schedules, hold periods, minimum thresholds, and fee deductions, are set forth in the Payments and Refund Policy.
4. Creators may participate in the Rewards Program in accordance with the Rewards Policy. Creators control the earning and redemption rules for reward points within their community, subject to the terms and conditions of the Rewards Policy, including Section 3 (Creator Control).
5. You are solely responsible for the value, quality, and accuracy of all paid offerings, including subscriptions, paid messages, experiences, digital content, Deals, Book a Call sessions, In-Person Party events, and Shop items. Celebrity Response does not guarantee the commercial success of any Creator's monetization efforts.
6. Celebrity Response reserves the right to modify, suspend, or discontinue any monetization feature, including any Credit-based or direct-payment feature, at any time, with or without prior notice. Celebrity Response shall not be liable for any loss of revenue resulting from such modification, suspension, or discontinuation.
Creator Responsibilities
1. As a Creator on the Platform, you are responsible for:
  1. ensuring the quality, accuracy, and completeness of all Creator Content you post or distribute;
  2. compliance with all applicable laws and regulations, including without limitation laws relating to copyright, trademark, publicity and personality rights, defamation, obscenity, consumer protection, and data privacy;
  3. compliance with Federal Trade Commission (FTC) disclosure requirements under 16 CFR Part 255 for any sponsored, paid, or incentivized content, including clearly and conspicuously disclosing any material connection between you and any brand, advertiser, or other third party whose products or services you promote, endorse, or review on the Platform;
  4. the timely fulfillment of all paid services, interactions, Deals, and experiences as described to users at the time of purchase;
  5. honest and accurate marketing of your content and services, including subscription offerings, without engaging in misleading subscription tactics, bait-and-switch practices, or deceptive pricing;
  6. responding to user communications within reasonable timeframes; and
  7. compliance with all Platform policies, including the creator-specific conduct rules set forth in Section 5 of the Acceptable Use Policy.
2. You shall not make any representations, warranties, or guarantees on behalf of Celebrity Response. You acknowledge that you do not have the authority to bind Celebrity Response in any manner whatsoever.
Payments and Tax
1. Creator payouts, including payout schedules, minimum thresholds, hold periods, payout methods, and fee deductions, are governed by the Payments and Refund Policy, including Section 7 (Creator Payouts). You agree to comply with all payout requirements set forth therein, including maintaining accurate and current payout information in your account settings.
2. You are an independent contractor of Celebrity Response. Nothing in these Creator Terms shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship between you and Celebrity Response. Without limiting the generality of the foregoing:
  1. you are not an employee, agent, or representative of Celebrity Response;
  2. you are not entitled to any employee benefits, including without limitation health insurance, retirement benefits, workers' compensation, unemployment insurance, or any other benefits;
  3. Celebrity Response shall not withhold income taxes, Social Security taxes, or any other taxes from your earnings, except as required by applicable federal, state, or local law (including without limitation backup withholding under Section 9.3 of the Payments and Refund Policy);
  4. you retain full control over your own schedule, working methods, content, creative decisions, and pricing; and
  5. you bear the risk of profit and loss from your activities on the Platform and are responsible for investing in your own tools, equipment, and resources.
3. You are solely responsible for determining, reporting, and fulfilling all of your tax obligations arising from your activities on the Platform, including without limitation income taxes, self-employment taxes, sales taxes, and any other applicable taxes. Celebrity Response does not provide tax, legal, or financial advice. You acknowledge that your earnings may constitute taxable income and that Celebrity Response may issue IRS Form 1099 or other applicable tax reporting forms as required by law, in accordance with Section 9 of the Payments and Refund Policy.
4. You agree to provide Celebrity Response with all required tax documentation, including IRS Form W-9, promptly upon request. Failure to provide required tax documentation may result in withholding of payouts or mandatory tax withholding at the applicable statutory rate.
Platform Rights
1. Celebrity Response reserves the right to remove, restrict, or disable access to any Creator Content at any time, at its sole discretion, with or without notice and with or without cause.
2. Celebrity Response may suspend or terminate your Creator account at any time, at its sole discretion, with or without notice and with or without cause. Grounds for suspension or termination include, without limitation:
  1. violation of these Creator Terms, the Terms of Service, the Acceptable Use Policy, the Payments and Refund Policy, the Rewards Policy, or any other Platform policy;
  2. prolonged inactivity on the Platform;
  3. pending or resolved legal proceedings, investigations, or complaints involving you or your Creator Content;
  4. conduct that poses a reputational risk to Celebrity Response or the Platform;
  5. suspected or confirmed fraudulent activity; and
  6. any other reason that Celebrity Response determines, in its sole discretion, warrants suspension or termination.
3. Upon termination of your Creator account:
  1. all Creator-specific features, privileges, and monetization tools shall be immediately disabled;
  2. pending payouts may be withheld, delayed, or forfeited in accordance with Section 7.6 of the Payments and Refund Policy;
  3. Creator Content shall be handled in accordance with Section 9 of these Creator Terms; and
  4. any accrued reward points shall be forfeited in accordance with the Rewards Policy.
4. Celebrity Response is not obligated to provide advance notice, an opportunity to cure, or a reason for any content removal, account suspension, or account termination under this Section 8.
Post-Departure Content
1. The Platform License granted under Section 3.2 shall survive the termination or expiration of your Creator account with respect to all Creator Content that was distributed to, purchased by, accessed by, or made available to subscribers or users prior to the date of departure (the "Departure Date").
2. Users who purchased or subscribed to your Creator Content prior to the Departure Date shall retain access to such content. Specifically:
  1. users who purchased individual items of Creator Content (including paid messages, experiences, and digital content) shall retain access to such purchased content indefinitely; and
  2. subscribers whose subscriptions were active as of the Departure Date shall retain access to subscription-gated Creator Content for the remainder of their current billing period.
3. You may submit a written request to Celebrity Response to take down any undistributed Creator Content remaining on the Platform within thirty (30) days following the Departure Date. Celebrity Response will use commercially reasonable efforts to process such takedown requests in a timely manner.
4. You acknowledge and agree that:
  1. previously cached, shared, downloaded, screenshotted, or otherwise redistributed Creator Content may persist beyond Celebrity Response's reasonable control;
  2. Celebrity Response shall not be liable for the continued availability of Creator Content that was lawfully accessed or redistributed by users prior to the Departure Date; and
  3. the survival of the Platform License under this Section 9 is necessary to fulfill Celebrity Response's obligations to users who purchased or subscribed to your Creator Content in good faith.
Representations and Warranties
1. You represent and warrant to Celebrity Response that:
  1. you own or have obtained all necessary rights, licenses, consents, and permissions to post, upload, and distribute your Creator Content on the Platform and to grant the Platform License described in Section 3;
  2. your Creator Content does not and will not infringe, misappropriate, or otherwise violate any intellectual property rights, publicity rights, personality rights, privacy rights, or any other rights of any third party;
  3. your Creator Content complies with all applicable federal, state, local, and international laws and regulations;
  4. you have the legal capacity and authority to enter into these Creator Terms and to perform your obligations hereunder;
  5. all information you provide to Celebrity Response, including registration information, tax documentation, and payout information, is accurate, current, and complete; and
  6. you will not use the Platform for any purpose that is unlawful, fraudulent, or prohibited by these Creator Terms or any applicable Platform policy.
Indemnification
1. You shall indemnify, defend, and hold harmless Celebrity Response and its officers, directors, members, managers, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
  1. your Creator Content, including any claim that your Creator Content infringes, misappropriates, or otherwise violates the rights of any third party;
  2. your interactions, transactions, communications, or disputes with users of the Platform;
  3. your breach of any provision of these Creator Terms, the Terms of Service, or any other applicable Platform policy;
  4. your violation of any applicable law, rule, regulation, or third-party right; and
  5. any claim arising from your failure to fulfill paid services, interactions, Deals, or experiences as described to users.
2. Celebrity Response reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate fully with Celebrity Response in asserting any available defenses.
Miscellaneous
1. Governing Law. These Creator Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Creator Terms shall be resolved in accordance with the dispute resolution provisions set forth in Section 16 of the Terms of Service.
2. Entire Agreement. These Creator Terms, together with the Terms of Service, the Payments and Refund Policy, the Acceptable Use Policy, the Rewards Policy, and the Privacy Policy, constitute the entire agreement between you and Celebrity Response with respect to your participation as a Creator on the Platform and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written, relating to the subject matter hereof.
3. Severability. If any provision of these Creator Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
4. Waiver. The failure of Celebrity Response to enforce any right or provision of these Creator Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Creator Terms shall be effective only if made in writing and signed by Celebrity Response.
5. Assignment. You may not assign, transfer, or delegate your rights or obligations under these Creator Terms without the prior written consent of Celebrity Response. Celebrity Response may freely assign, transfer, or delegate its rights and obligations under these Creator Terms without restriction. Any attempted assignment, transfer, or delegation in violation of this Section shall be null and void.
6. Survival. The provisions of these Creator Terms that by their nature are intended to survive termination shall survive termination, including without limitation Section 3 (Content Ownership and Licensing), Section 7.2 (Independent Contractor Status), Section 9 (Post-Departure Content), Section 10 (Representations and Warranties), Section 11 (Indemnification), and this Section 12.
7. Headings. The headings in these Creator Terms are for convenience only and shall not affect the interpretation or construction of any provision.
8. Relationship of the Parties. Nothing in these Creator Terms shall be construed to create any relationship of employer and employee, principal and agent, partnership, or joint venture between Celebrity Response and any Creator. Each Creator is and shall remain an independent contractor as set forth in Section 7.2.
