This Deals Policy ("Policy") governs all Deal requests, Deal agreements, cancellations, no-shows, and related transactions conducted through the Celebrity Response platform ("Platform"), which is owned and operated by Celebrity Response LLC ("Celebrity Response," "we," "us," or "our"), an Ohio limited liability company with its principal place of business at 131 19th St, Toledo, Ohio 43604.

By submitting a Deal request or participating in any Deal through the Platform, you ("User" or "you") acknowledge that you have read, understood, and agree to be bound by this Policy. This Policy forms part of, and is subject to, our Terms of Service. In the event of any conflict between this Policy and the Terms of Service, the Terms of Service shall prevail unless this Policy expressly provides otherwise.

This Policy should be read in conjunction with the following companion documents:

      1. Terms of Service (in particular, Section 7, Booking and Deals, and Section 16, Governing Law and Dispute Resolution);
      2. Payments and Refund Policy; and
      3. Creator Terms (in particular, Section 6, Creator Responsibilities).
  1. Overview
    1. Celebrity Response provides a technology platform that enables users ("Users") to submit Deal requests to creators ("Creators") for appearances, features, collaborations, custom content, and any other service a Creator offers. The Deals feature allows Users to request any service from a Creator through the Platform. This Policy describes the Deal lifecycle from request submission through completion, including the rules governing cancellations, no-shows, deposits, modifications, and disputes.
    2. Celebrity Response operates solely as a marketplace intermediary. We provide the technology infrastructure that connects Users and Creators. We do not act as a talent agency, booking agent, manager, or representative of any Creator. Our role is limited to facilitating communication, processing payments, and providing tools that enable Users and Creators to transact.
    3. All capitalized terms used but not defined in this Policy have the meanings given to them in the Terms of Service.
  2. Deal Requests
    1. Users may submit Deal requests to Creators through the Platform. A Deal request is an invitation to negotiate and does NOT constitute a binding offer, contract, or commitment. Submission of a Deal request creates no obligation on the part of any Creator to respond, accept, or perform.
    2. Each Deal request may include details such as the type of experience or service requested, proposed dates and times, scope of deliverables, and any special instructions. Users are responsible for providing accurate and complete information in their Deal requests.
    3. Creators have sole and absolute discretion to accept, decline, or counter-propose any Deal request. Celebrity Response does not influence, direct, or control a Creator's decision to accept or reject any request.
    4. Submission of a Deal request requires the User to pay Credits in the amount determined by the applicable Creator. Each Creator sets the Credit cost for receiving Deal requests on their profile at their sole discretion. Credits spent to submit a Deal request are non-refundable under all circumstances, including where the Creator accepts, declines, does not respond to, or allows the request to expire. The Credit cost is a fee for the opportunity to submit the Deal request and does not guarantee acceptance, a response, or performance by the Creator. The non-refundable Credit fee for submitting a Deal request is separate from and in addition to any deposit, payment, or other fee that may be required if the Creator accepts the Deal.
    5. Celebrity Response does not guarantee that any Creator will:
      1. respond to a Deal request within any particular timeframe;
      2. accept a Deal request;
      3. be available for the requested dates, times, or type of service; or
      4. fulfill a Deal in a manner that meets the User's expectations.
    6. A Deal is confirmed only when both the User and the Creator have agreed to the terms of the Deal through the Platform ("Confirmed Deal"). Until a Deal is confirmed, either party may withdraw without consequence.
    7. Upon confirmation, the User and the Creator are each bound by the agreed terms of the Confirmed Deal, subject to the cancellation, no-show, and modification provisions set forth in this Policy.
  3. No Guarantees and Platform Role
    1. Celebrity Response is a marketplace intermediary only. We provide the technology to connect Users and Creators. We are NOT a talent agency, booking agent, manager, employer, or representative of any Creator, and we do not exercise control over any Creator's schedule, availability, pricing, or performance.
    2. Celebrity Response makes no guarantees, representations, or warranties of any kind regarding:
      1. whether any Creator will respond to or accept any Deal request;
      2. the availability, reliability, or punctuality of any Creator;
      3. the quality, suitability, or standard of any experience, appearance, message, or service provided by a Creator;
      4. the outcome or results of any Deal or interaction between a User and a Creator;
      5. User satisfaction with any aspect of a Deal; or
      6. the accuracy or completeness of any information provided by a Creator on the Platform.
    3. Users acknowledge that all Deal decisions involve inherent risks and that Celebrity Response shall not be held responsible for any Creator's acts, omissions, conduct, or performance.
  4. Independent Agreements
    1. All Deal agreements are between the User and the Creator. Celebrity Response is NOT a party to any Deal agreement, deal, or arrangement between a User and a Creator.
    2. The terms of each Deal, including the scope of services, timing, deliverables, pricing, and any other conditions, are determined solely by the User and the Creator. Celebrity Response does not set, negotiate, or guarantee any term of any Deal.
    3. Each party to a Deal agreement is independently responsible for fulfilling its obligations under the agreed terms. Celebrity Response is not liable for either party's failure to perform, delay in performance, or breach of any Deal agreement.
    4. Nothing in this Policy or any other Platform document creates an agency, partnership, joint venture, employment, or fiduciary relationship between Celebrity Response and any User or Creator, or between Celebrity Response and any third party in connection with a Deal.
  5. Deposits and Payments
    1. Upon confirmation of a Deal, the Platform may collect a deposit or the full payment amount from the User, as determined by the Creator's pricing and the terms of the specific Deal. Any deposit or payment collected upon confirmation of a Deal is separate from and in addition to any non-refundable Credits spent by the User to submit the Deal request under Section 2.4 of this Policy.
    2. All payments are processed through the Platform's payment processing infrastructure. Celebrity Response facilitates payment processing between Users and Creators. Payments collected by the Platform are not held in escrow and are processed in accordance with the Payments and Refund Policy.
    3. Funds are released to the Creator upon successful completion of the Confirmed Deal, or as otherwise determined in accordance with the cancellation and no-show rules set forth in Sections 6 and 7 of this Policy.
    4. Celebrity Response retains a platform commission on all Deals, as set forth in the Payments and Refund Policy. The platform commission is non-refundable regardless of whether the Deal is completed, cancelled by either party, or results in a no-show.
    5. Where a refund is due to a User under this Policy, the platform commission shall be deducted before the refund is processed. Refunds are subject to the specific rules set forth in Sections 6 and 7 of this Policy and the Payments and Refund Policy.
    6. Users acknowledge that all payment amounts, fees, and commission rates are subject to the terms of the Payments and Refund Policy, which governs all financial transactions on the Platform.
    7. For the avoidance of doubt, Credits spent to submit a Deal request are non-refundable in all cases, including where the Deal is subsequently cancelled, the Creator fails to perform, or a refund of the deposit or payment amount is otherwise issued under this Policy. The non-refundable Credit fee and any refund of deposits or payments under Sections 6 and 7 are independent of one another.
  6. Cancellation Policy
    1. All cancellations must be submitted through the Platform. Cancellations communicated outside the Platform (including by email, text message, or any other means) shall not be recognized.
    2. User Cancellations
    3. A User may cancel a Confirmed Deal through the Platform, subject to the following tiered refund schedule:
      1. Cancellation forty-eight (48) or more hours before the scheduled time: the User shall receive a full refund of the deposit or payment, minus the platform processing fee;
      2. Cancellation between twenty-four (24) and forty-eight (48) hours before the scheduled time: the User shall receive a refund of fifty percent (50%) of the deposit or payment, minus the platform processing fee; and
      3. Cancellation less than twenty-four (24) hours before the scheduled time: no refund shall be issued, and the Creator shall retain the full deposit or payment amount.
    4. The platform processing fee referenced above is non-refundable in all circumstances.
    5. In all cases, the platform commission retained by Celebrity Response is non-refundable, regardless of the timing of the cancellation.
    6. Creator Cancellations
    7. A Creator may cancel a Confirmed Deal at any time before the scheduled time through the Platform. If a Creator cancels a Confirmed Deal, the User shall receive a full refund of the deposit or payment amount.
    8. Creators who cancel Confirmed Deals may face platform consequences, including but not limited to:
      1. a warning notice on the Creator's account;
      2. reduced visibility or ranking on the Platform;
      3. temporary suspension of the Creator's ability to accept new Deal requests; and
      4. for repeated cancellations, suspension or permanent termination of the Creator's account, in accordance with the Creator Terms.
    9. Celebrity Response reserves the right to determine, in its sole discretion, whether a Creator's pattern of cancellations warrants any of the consequences described in Section 6.2.2.
  7. No-Show Policy
    1. For the purposes of this Policy, a "no-show" means the failure of a party to appear, participate, or otherwise be available within fifteen (15) minutes of the scheduled time, or within such other timeframe as the parties may have agreed through the Platform.
    2. Creator No-Show
    3. If a Creator fails to appear for a Confirmed Deal (a "Creator No-Show"), the User shall receive a full refund of the deposit or payment amount.
    4. A Creator who is responsible for a Creator No-Show may face platform penalties, including but not limited to:
      1. account suspension for a period determined by Celebrity Response in its sole discretion;
      2. reduced visibility or ranking on the Platform;
      3. financial penalties, including forfeiture of any amounts held by the Platform on the Creator's behalf; and
      4. for repeated no-shows, permanent termination of the Creator's account.
    5. User No-Show
    6. If a User fails to appear for a Confirmed Deal (a "User No-Show"), no refund shall be issued. The Creator shall retain the full deposit or payment amount.
    7. A User No-Show shall be deemed a forfeiture of the Deal. The User acknowledges that by failing to appear, the User has voluntarily waived all rights to a refund, credit, or rescheduling of the Deal.
  8. Deal Modifications
    1. Either party to a Confirmed Deal may request modifications to the Deal through the Platform. Modification requests may include changes to the date, time, scope of services, deliverables, or other terms of the Deal.
    2. A modification shall be effective only when both the User and the Creator have agreed to the modified terms through the Platform. Neither party is obligated to accept any proposed modification.
    3. Celebrity Response facilitates the modification process by providing tools for communication and agreement through the Platform. Celebrity Response does not guarantee that any modification request will be accepted by the other party.
    4. Any price changes resulting from a modification are subject to the Payments and Refund Policy. Additional payments may be required from the User, or partial refunds may be issued, depending on the nature of the modification and the agreement of the parties.
    5. If the parties cannot agree on a modification, the original terms of the Confirmed Deal shall remain in effect.
  9. Dispute Resolution
    1. In the event of a dispute arising from or relating to a Deal, the parties are encouraged to resolve the matter directly. Users and Creators should attempt to communicate and resolve disputes through the Platform's messaging functionality.
    2. If direct resolution is unsuccessful, either party may submit a dispute to Celebrity Response at info@celebrityresponse.app. The submission should include the Deal reference, a description of the issue, and any supporting documentation.
    3. Celebrity Response may, at its sole discretion, mediate or otherwise assist in the resolution of Deal disputes. Celebrity Response is NOT obligated to investigate, mediate, or resolve any dispute between a User and a Creator.
    4. Where Celebrity Response elects to assist in dispute resolution, Celebrity Response may, in its sole discretion:
      1. issue platform credits to the affected party;
      2. issue a partial or full refund;
      3. provide goodwill gestures; or
      4. take any other action it deems appropriate.
    5. Celebrity Response's decision regarding any dispute is final and non-appealable. Users and Creators agree to accept Celebrity Response's determination as the conclusive resolution of the matter, to the fullest extent permitted by applicable law.
    6. Any disputes that cannot be resolved through the process described in this Section 9 shall be subject to the binding arbitration provisions set forth in Section 16 of the Terms of Service, including the class action waiver and jury trial waiver contained therein.
  10. Liability Disclaimer
    1. THE DEAL FACILITATION SERVICES PROVIDED BY CELEBRITY RESPONSE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
    2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CELEBRITY RESPONSE DISCLAIMS ALL LIABILITY FOR:
      1. the outcome or result of any Deal or interaction between a User and a Creator;
      2. the quality, timeliness, or standard of any service, experience, appearance, or message provided by a Creator;
      3. any Creator's failure to accept, fulfill, or perform any Deal;
      4. any User's failure to appear, participate, or fulfill obligations under a Deal;
      5. any dispute, claim, or disagreement between a User and a Creator arising from or relating to a Deal;
      6. any loss, damage, injury, or expense arising from or in connection with a Deal or any interaction between a User and a Creator; and
      7. any indirect, incidental, special, consequential, or punitive damages arising from or relating to any Deal or use of the Deal features of the Platform.
    3. The limitations and disclaimers set forth in this Section 10 are in addition to, and not in lieu of, the disclaimers and limitations of liability set forth in Sections 11 and 12 of the Terms of Service.

    1. Celebrity Response reserves the right to update or modify this Policy at any time. Any changes will be posted on the Platform and will become effective upon posting. Your continued use of the Platform's Deal features following any changes constitutes your acceptance of the revised Policy.
